Terms & Conditions (T&C) – Interlexico UG

1. Scope of Application

1.1 These T&C apply to all contracts between Interlexico UG, Donaustr. 1, 82140 Olching, Germany, and the customer (“Customer” = consumer or business).
1.2 A consumer is any natural person who concludes a legal transaction that is not attributable to their commercial or self-employed professional activity.
1.3 A business is any natural or legal person who acts in exercise of their commercial or self-employed professional activity when concluding a legal transaction.
1.4 Deviating contractual conditions for specific offers or products shall prevail if expressly agreed in writing.
1.5 Contract Language: German or English. The version accepted by the customer at the time of contract conclusion shall be binding. In the event of interpretation differences, the chosen language version shall prevail.
1.6 Customer’s terms and conditions apply only if Interlexico UG expressly agrees in writing.

2. Formation of Contract

2.1 Offers by Interlexico UG are binding.
2.2 A contract is concluded once Interlexico UG confirms the booking via PDF sent by email.
2.3 Booking may be made via online form, email, or postal mail under acceptance of these T&C.
2.4 Interlexico UG stores booking data electronically.
2.5 Separate terms may apply to specific services (e.g., e-learning, specialized training), which will be stated in the order confirmation.

3. Prices & Payment

3.1 All prices include the legally applicable VAT, where applicable.
3.2 Payment exclusively via bank transfer, due before the start of the course.
3.3 Additional services (e.g., learning materials, exams, travel or accommodation costs) will be charged separately.
3.4 Prices are subject to change until the contract is confirmed by Interlexico UG.

4. Services & Participant Requirements

4.1 On-Site Lessons and Hybrid(Individual / Group)

One lesson = 45 minutes
Quality control may be performed by Interlexico staff or freelancers
Placement test before course start
Booking becomes binding upon PDF confirmation by email
Minimum group size: 5 participants; maximum: 7
Fees apply even if the number falls below the minimum
Technical requirements (if applicable) are the customer’s responsibility
Course fees + any service fees are due before course start; installment payments only with prior agreement
Refund only for unused lesson units, minus service fee and material costs

4.2 E-Learning / Blended Learning / Telephone Training

License valid until course end
Login credentials must be kept confidential
Interlexico UG does not guarantee compatibility with participant devices or network
Refunds for unused access only if contractually agreed (possibly none)
Online placement test (approx. 20–45 min) before training start
If interruptions exceed 48h, access may be extended upon proof
Cancellation of learning units is governed by Section 5

4.3 Trail Lesson (90 minutes, 5–7 participants)

Binding once confirmed via PDF
Payment in advance by bank transfer
Full fee applies even if fewer participants attend

5. Cancellation / Postponement / Refund

5.1 Cancellation before course start by the Customer:

≥ 4 weeks before start: 75% cancellation fee (25% refund)
14–27 days before start: 90% cancellation fee (10% refund)
< 14 days before start: 100% cancellation fee (no refund)

5.2 After course start: no refund — full course fee remains due.

5.3 Cancellation by Interlexico UG (e.g., illness of trainer, force majeure):
Course will be postponed or substitute service will be offered; refund only if substitute option is not possible or not accepted.

6. Right of Withdrawal (Consumers Only)

6.1 Consumers have a right of withdrawal within 14 days after contract conclusion.
6.2 Businesses have no right of withdrawal.
6.3 Services performed during the withdrawal period will be charged proportionately.

7. Liability

7.1 Interlexico UG is liable only for intent or gross negligence.
7.2 Liability is unlimited for injury to life, body, or health.
7.3 No guarantee for achieving specific learning results.

8. Teaching Material & Copyright

8.1 Teaching material remains property of Interlexico UG until paid in full.
8.2 Sharing or public use without written consent is prohibited.

9. Non-Solicitation

9.1 The customer may not directly or indirectly solicit Interlexico UG trainers for 24 months after contract termination.

10. Data Protection & Marketing

10.1 Marketing requires express customer consent.
10.2 Consent may be revoked at any time by email.
10.3 Photo/video use for marketing requires prior customer consent.

11. Final Provisions

11.1 German law applies (CISG excluded).
11.2 Place of jurisdiction: Munich, Germany, and registered office of Interlexico UG.
11.3 Invalid clauses shall be replaced by legal regulations.
11.4 Changes must be in text form (e.g., email).
